These Terms and Conditions ("Terms") govern the use of Practice Pilot, Inc. ("Company," "we," "us," or "our") services and subscription plans by private practices ("you," "your," or "Subscriber") in the United States. By subscribing to and using our services, you agree to comply with and be bound by these Terms.

1. Introduction

Practice Pilot, Inc. provides a practice performance management tool ("Service") designed to help private practices analyze and optimize their performance. These Terms apply to all subscription plans and additional services offered.

2. Subscription Details

2.1. Plans and Add-Ons

We offer multiple subscription tiers with fixed pricing. Each tier may include optional, chargeable add-ons to customize your experience. Details of each plan are available on our website or provided during the registration process.

2.2. Billing Cycle

Subscriptions are billed on a pre-paid basis and automatically renew at the end of each billing cycle unless canceled per Section 5 below.

2.3. Trial Period

New Subscribers are eligible for a 14-day free trial. After the trial period, you will be charged according to your selected subscription plan unless you cancel before the trial ends.

3. Payment Terms

3.1. Pre-Paid Payments

All subscription fees must be paid in advance. Payment methods accepted include Credit and Debit Cards.

3.2. Late Payments

Failure to provide payment before the start of the billing cycle may result in suspension or termination of your subscription.

3.3. No Refunds

All payments are final. Refunds will not be provided for any reason, including partial use or termination of the subscription.

4. Use of Services

4.1. Authorized Use

The Service is for use by private practices in the United States only. You agree to use the Service in compliance with all applicable laws and regulations.

6. Renewal, Cancellation, and Termination

6.1. Automatic Renewal

Subscriptions automatically renew at the end of the billing cycle unless canceled at least one day before the renewal date.

6.2. Cancellation by the Subscriber

You may cancel your subscription at any time through your account settings. However, no refunds will be provided for unused time.

6.3. Termination by the Company

We reserve the right to terminate your subscription or access to the Service at any time without prior notice if you breach these Terms or for any other reason at our discretion.

7. Data Ownership and Usage

7.1. Subscriber Data

You retain ownership of all data you upload to the Service, including financial information and patient visit statistics.

7.2. Anonymized Data

We may anonymize and aggregate your data to generate industry reports or other insights. Such anonymized data will not identify you or your patients. By using the Service, you grant us a non-exclusive, royalty-free, irrevocable license to use anonymized data for these purposes, including sharing or selling it to third parties.

8. Content and Intellectual Property

All content, software, and materials provided through the Service are the exclusive property of Practice Pilot, Inc.. You are granted a limited, non-transferable, and revocable license to use the Service in accordance with these Terms.

9. Changes to Terms and Services

We may update these Terms or modify the Service at any time. Changes will be communicated via email or through a notice on our website. Continued use of the Service after changes constitutes acceptance of the updated Terms.

10. Disclaimers and Limitation of Liability

10.1. No Warranties

The Service is provided "as is" without warranties of any kind, either express or implied.

10.2. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the Service.

11. Dispute Resolution

11.1. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of laws principles.

11.2. Arbitration

Any disputes arising from these Terms will be resolved through binding arbitration in Georgia, in accordance with the rules of the American Arbitration Association.

11.3. Class Action Waiver

You agree to resolve disputes individually and not as part of a class action or representative proceeding.
